These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of the website located at helpingushelpu.com (the “Site”), as well as your engagement with Helping Us Help U Home Care, LLC (“Company,” “we,” “us,” or “our”) for non-medical home care services. By accessing our Site, requesting information about our services, scheduling a consultation, or entering into a service agreement with us, you (“Client,” “User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing the Site or services on behalf of another individual (such as a family member or legal representative), you represent and warrant that you have the authority to bind that individual to these Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS, OBLIGATIONS, AND LIMITATIONS OF LIABILITY, INCLUDING A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS THE SITE OR USE OUR SERVICES.

1. DEFINITIONS

To ensure clarity throughout this Agreement, the following terms shall have the meanings set forth below:

  • “Services” refers to the non-medical, in-home care services offered by Helping Us Help U Home Care, LLC, as described in Section 3 and on our Site. These services are expressly limited to assistance with Activities of Daily Living (ADLs) and Instrumental Activities of Daily Living (IADLs) and do not constitute medical care, skilled nursing, or therapeutic treatment.
  • “Client” means the individual who will directly receive the Services.
  • “Responsible Party” means the individual (e.g., family member, guardian, power of attorney, or the Client themselves if competent) who enters into this Agreement, is financially responsible for the Services, and is authorized to make decisions regarding the Client’s care.
  • “Caregiver” refers to a trained, non-licensed employee or independent contractor of the Company who is assigned to provide the Services to the Client.
  • “Service Agreement” means the separate, detailed care plan and financial agreement executed between the Company and the Responsible Party, which incorporates these Terms by reference.
  • “Confidential Information” includes all non-public, personal, health, and financial information related to the Client, the Responsible Party, and the Company, disclosed in connection with the Services.

2. ACCEPTANCE AND MODIFICATION OF TERMS

By using our Site or engaging our Services, you affirm that you are at least eighteen (18) years of age and possess the legal capacity to enter into this binding Agreement. We reserve the right, at our sole discretion, to modify, amend, or update these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Site, with the “April 24, 2026” date revised accordingly. Your continued use of the Site or Services following the posting of modified Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically for updates. We may also, in our discretion, notify you of material changes via email or through a notice on the Site.

3. DESCRIPTION AND LIMITATIONS OF SERVICES

Helping Us Help U Home Care, LLC provides compassionate, non-medical in-home care services designed to support independence, dignity, and safety for seniors and individuals with disabilities in Indianapolis, Indiana, and surrounding communities. Our Services are intended to supplement, not replace, care provided by family, friends, or licensed medical professionals.

3.1 Services Provided. Our Services may include, but are not limited to:

  • Personal Care: Assistance with bathing, grooming, oral hygiene, dressing, toileting, incontinence care, mobility, transfers, and feeding (non-medical).
  • Companion Care: Providing companionship, conversation, engagement in hobbies or activities, and escort to appointments or social outings.
  • Homemaker Services: Light housekeeping, laundry, linen changes, meal preparation, and assistance with grocery shopping or errands.
  • Transportation: Non-medical transportation to appointments, errands, or social activities using the Caregiver’s personal vehicle. Client/Responsible Party acknowledges that Caregivers maintain valid driver’s licenses and insurance as required by Indiana law, but the Company does not provide commercial auto insurance for personal vehicles used in service delivery.
  • Respite Care: Temporary, scheduled relief for primary family caregivers.
  • Medication Reminders: Prompting the Client to take pre-dosed medications at scheduled times and assistance with opening containers. Our staff is expressly prohibited from administering medications, injecting insulin, managing IVs, or performing any task that constitutes the practice of nursing or medicine under Indiana law.
  • Safety Supervision: General observation, fall prevention monitoring, and supervision for clients with cognitive impairments such as dementia or Alzheimer’s disease.
  • Assistance with Daily Living: Support with both Activities of Daily Living (ADLs: bathing, dressing, eating, toileting, mobility) and Instrumental Activities of Daily Living (IADLs: meal prep, housekeeping, transportation, shopping).

3.2 Express Limitations and Exclusions. Our Services are strictly NON-MEDICAL. We do not provide, and our Caregivers are not trained or licensed to provide:

  • Skilled nursing care, wound care, or catheter care.
  • Administration of medications by injection, inhalation, or other medical routes.
  • Physical, occupational, or speech therapy.
  • Medical assessments, diagnoses, or treatment plans.
  • Any service that requires a licensed medical professional (RN, LPN, CNA under medical direction, etc.).
  • Heavy housekeeping (e.g., moving large furniture, deep cleaning of ovens), yard work, or pet care beyond basic feeding/watering during a visit.
  • Financial management or legal advice on behalf of the Client.

The Responsible Party agrees to maintain all necessary medical care, equipment, and supplies for the Client. The Company’s role is to provide supportive, non-clinical assistance as outlined in the Service Agreement.

4. CLIENT ELIGIBILITY, ASSESSMENT, AND CARE PLAN

4.1 Eligibility. Our Services are designed for individuals who require non-medical assistance to live safely at home. Prior to commencing Services, the Company will conduct a complimentary, in-home assessment to evaluate the Client’s needs, preferences, and home environment. This assessment is not a medical evaluation.

4.2 Service Agreement. Based on the assessment, we will develop a personalized Care Plan detailing the scope, schedule, and specific tasks for the Services. This Care Plan, along with financial terms, will be formalized in a separate Service Agreement that must be signed by the Responsible Party before Services begin. The Care Plan is a living document and may be modified with mutual written agreement.

4.3 Client Responsibilities. The Responsible Party agrees to:

  • Provide accurate and complete information about the Client’s health status, medications, behaviors, and care needs during the assessment and throughout the service period.
  • Ensure a safe and hazard-free work environment for our Caregivers.
  • Notify the Company immediately of any changes in the Client’s condition, behavior, or needs that may affect the delivery or safety of Services.
  • Secure all valuables, medications, and confidential documents. The Company is not liable for loss or damage to personal property unless directly caused by the gross negligence or willful misconduct of a Company employee.

5. CAREGIVER ASSIGNMENT AND CONDUCT

5.1 Assignment. We strive to assign consistent, compatible Caregivers to promote trust and quality of care. However, due to scheduling demands, caregiver availability, illness, or other unforeseen circumstances, we cannot guarantee the same Caregiver for every visit. We will make reasonable efforts to provide advance notice of any change.

5.2 Caregiver Qualifications. All Company Caregivers undergo a thorough screening process, which may include background checks, reference verification, and training on our policies and procedures. However, the Company does not guarantee the specific qualifications, experience, or personality of any individual Caregiver beyond the baseline requirements for the role.

5.3 Client and Family Conduct. We expect all Clients, family members, and visitors to treat our Caregivers with respect and professionalism. Harassment, abuse, unsafe working conditions, or requests to perform tasks outside the agreed Care Plan or these Terms are grounds for immediate termination of Services by the Company.

6. PAYMENT TERMS, BILLING, AND INSURANCE

6.1 Fees and Billing. Service rates are provided in the Service Agreement and are subject to change with reasonable notice. Billing is typically conducted on a weekly or bi-weekly basis. The Responsible Party is solely responsible for all fees incurred, including charges for services rendered, cancellation fees (see Section 7), and any applicable taxes.

6.2 Payment Methods. We accept major credit cards, checks, or other methods as agreed upon in the Service Agreement. Payment is due upon receipt of the invoice. A late fee of [Insert Percentage, e.g., 1.5%] per month or the maximum allowed by Indiana law may be applied to overdue balances.

6.3 Insurance. Helping Us Help U Home Care, LLC maintains general liability insurance. However, our insurance does not cover: (a) medical malpractice or errors in medical care (as we do not provide medical services); (b) loss of personal property; (c) incidents arising from the Client’s failure to disclose critical health information; or (d) services performed outside the agreed Care Plan. The Responsible Party is encouraged to maintain their own homeowner’s, renter’s, or long-term care insurance as appropriate. We are not a participating provider with Medicare, Medicaid, or private health insurance plans for our non-medical services. Clients are responsible for verifying their own insurance benefits and submitting any possible claims for reimbursement, though such reimbursement is not guaranteed.

7. CANCELLATION, RESCHEDULING, AND TERMINATION POLICY

7.1 Client Cancellation/Rescheduling. The Responsible Party must provide at least [e.g., 24 hours] notice to cancel or reschedule a scheduled visit. Failure to provide sufficient notice may result in a cancellation fee equal to [e.g., 50-100%] of the scheduled visit’s cost, as detailed in the Service Agreement.

7.2 Company Cancellation. The Company may need to cancel or reschedule a visit due to caregiver illness, emergency, or unforeseen circumstances. We will make every effort to provide substitute care or reschedule promptly. We are not liable for costs or inconveniences resulting from such cancellations, except as required by Indiana law.

7.3 Termination of Services. Either party may terminate the Service Agreement at any time, with or without cause, by providing written notice. Upon termination, the Responsible Party is responsible for all fees for services rendered up to the termination date. The Company may terminate services immediately for: non-payment; abusive or dangerous behavior toward staff; material breach of this Agreement; or if the Client’s needs exceed our non-medical service scope.

8. LIMITATION OF LIABILITY AND DISCLAIMERS

8.1 Nature of Services. YOU ACKNOWLEDGE THAT THE SERVICES PROVIDED BY HELPING US HELP U HOME CARE, LLC ARE NON-MEDICAL AND NON-CLINICAL IN NATURE. WE DO NOT GUARANTEE SPECIFIC OUTCOMES, IMPROVEMENTS IN HEALTH, OR THE PREVENTION OF ACCIDENTS, INJURIES, OR MEDICAL EMERGENCIES.

8.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY INDIANA LAW, IN NO EVENT SHALL HELPING US HELP U HOME CARE, LLC, ITS OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8.3 Cap on Liability. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO THE COMPANY FOR SERVICES IN THE [e.g., THREE (3)] MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8.4 Third-Party Actions. We are not liable for the acts or omissions of third parties, including other healthcare providers, family members, or visitors in the Client’s home.

9. PRIVACY, CONFIDENTIALITY, AND HEALTH INFORMATION

9.1 Privacy Policy. Our collection, use, and disclosure of your personal information is governed by our separate Privacy Policy, available on our Site, which is incorporated into these Terms by reference.

9.2 Confidentiality. We treat all Client information as confidential. Our staff is trained on confidentiality protocols. However, please note that as a non-medical home care agency, we are generally not a “covered entity” under the Health Insurance Portability and Accountability Act (HIPAA). Nevertheless, we adhere to strict privacy standards. Information may be disclosed: (a) with your written authorization; (b) to our staff and contractors on a need-to-know basis to provide Services; (c) as required by law (e.g., reporting suspected abuse, neglect, or exploitation as mandated by Indiana law); or (d) in response to a valid court order or subpoena.

9.3 Communication. You consent to receive communications from us via email, phone, or text regarding service coordination, scheduling, and billing. Standard message and data rates may apply.

10. INTELLECTUAL PROPERTY AND WEBSITE USE

10.1 Company Property. All content on the Site, including text, graphics, logos, images, and software, is the property of Helping Us Help U Home Care, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

10.2 Acceptable Use. You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit, anyone else’s use and enjoyment of the Site. Prohibited activities include hacking, transmitting viruses, or attempting to interfere with the Site’s security or functionality.

10.3 User Submissions. Any feedback, comments, or materials you submit to the Site become the property of the Company and may be used for any purpose without compensation to you.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Helping Us Help U Home Care, LLC, its owners, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your or the Client’s violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that the Services caused damage or injury, except to the extent such claim is directly attributable to the gross negligence or willful misconduct of our employee.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law. These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles.

12.2 Binding Arbitration; Class Action Waiver. EXCEPT FOR CLAIMS THAT MAY BE PROPERLY ASSERTED IN SMALL CLAIMS COURT, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING THE FORMATION, INTERPRETATION, OR ENFORCEMENT THEREOF, SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT. JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION. THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTES TO BE RESOLVED ON A CLASS, CONSOLIDATED, OR REPRESENTATIVE BASIS. BY AGREEING TO THESE TERMS, YOU ARE EXPRESSLY WAIVING YOUR RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

12.3 Location. Any arbitration or legal proceeding shall be conducted in Marion County, Indiana.

13. TERM AND TERMINATION

This Agreement is effective upon your acceptance and continues until terminated as outlined in Section 7. Sections that by their nature should survive termination, including but not limited to Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution, shall survive.

14. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, fire, flood, epidemic, pandemic, government action, labor disputes, or failures of public transportation or utilities.

15. MISCELLANEOUS PROVISIONS

15.1 Entire Agreement. These Terms, together with the Service Agreement and Privacy Policy, constitute the entire agreement between you and Helping Us Help U Home Care, LLC regarding the subject matter herein and supersede all prior discussions and agreements.

15.2 Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing.

15.4 Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign our rights and obligations under this Agreement in connection with a merger, acquisition, or sale of assets.

15.5 Notices. All notices shall be sent to the addresses provided during registration or via email to the addresses on file. Notices are deemed received when sent (for email) or three days after mailing (for postal mail).
